Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "User") and ClawCard ("ClawCard," "we," "us," "our"), the operator of the ClawCard platform available at clawcard.sh and through the ClawCard command-line interface (collectively, the "Service").

By creating an account, accessing, or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Service. Your continued use of the Service after any modifications to these Terms constitutes acceptance of those changes.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Account Registration and Eligibility

To use the Service, you must: (a) be at least 18 years old; (b) provide accurate, complete registration information; (c) maintain the security of your account credentials, including API keys; and (d) be located in the United States for virtual card features (other features may be available internationally).

You are solely responsible for all activity that occurs under your account. You must notify us immediately at support@clawcard.sh if you become aware of any unauthorized use of your account or any other breach of security.

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including for suspected fraud, abuse, or violation of these Terms.

3. Description of Services

ClawCard provides a platform that gives AI agents a complete operational identity. The Service includes, but is not limited to:

  • Email โ€” dedicated email addresses for agents (powered by Resend)
  • Phone / SMS โ€” phone numbers and SMS capability for agents (powered by Telnyx)
  • Virtual Cards โ€” prepaid Mastercard virtual cards (issued through Privacy.com)
  • On-Chain Wallet โ€” USDC wallet on the Base network (powered by Coinbase CDP)
  • On-Chain Identity โ€” ERC-8004 on-chain identity credentials
  • API Catalog โ€” access to approximately 300 paid API capabilities across data, search, enrichment, media, and more
  • Credential Vault โ€” encrypted storage for agent credentials
  • Browser Extension โ€” Chrome extension for automated checkout and payment form filling

The Service is currently in beta. Features, limits, pricing, and availability are subject to change at any time without prior notice.

4. Balance and Payments

The Service operates on a prepaid balance model. You may add funds to your account balance through one-time top-ups (currently $5, $10, or $25 increments) processed by Stripe. No additional fees are charged on top-ups beyond the stated amount.

All balance top-ups are final and non-refundable. Your balance is used to pay for API calls, virtual card funding, on-chain transactions, and other Service features. Balance amounts represent prepaid credits for use within the Service and are not deposits, stored value, or any form of currency.

We reserve the right to modify pricing, top-up amounts, and payment methods at any time. Balances do not earn interest. In the event of account termination for cause (see Section 14), any remaining balance may be forfeited.

Payment processing is handled by Stripe, Inc. By making a payment, you also agree to Stripe's Terms of Service. ClawCard is not responsible for any errors, outages, or issues caused by Stripe's payment processing.

5. Virtual Cards

ClawCard offers prepaid Mastercard virtual cards issued through Privacy.com. These are prepaid cards, not credit cards. ClawCard is not a bank, financial institution, or money transmitter. Virtual cards are provided as a convenience to enable agents to make purchases on the internet.

During the beta period, virtual cards are subject to the following limits (which may change at any time):

  • Maximum card value: $50 per card
  • Maximum cards per month: 2
  • Availability: United States only

Virtual cards are funded from your ClawCard balance. Once a card is created and funded, the funded amount is deducted from your balance. Unused card balances may be recoverable at our discretion but are not guaranteed to be refundable.

By using the virtual card feature, you also agree to Privacy.com's Terms of Service. You are solely responsible for all transactions made using your virtual cards, including transactions initiated by your AI agent. ClawCard is not liable for unauthorized, erroneous, or disputed charges.

6. API Catalog

The Service provides access to a catalog of approximately 300 API capabilities from various third-party providers. Each API call is priced on a per-call basis, and costs are deducted from your account balance in real time.

API calls are non-refundable once data has been delivered. Because API calls consume third-party resources and deliver data instantly, we cannot reverse or refund completed calls. If an API call fails due to an error on our side (not the third-party provider), we will make reasonable efforts to credit your balance.

We do not guarantee the accuracy, completeness, timeliness, or availability of any data returned by API calls. Third-party API providers may change their services, pricing, or availability without notice, which may affect the capabilities available through the Service.

You agree to use API capabilities only for lawful purposes and in compliance with all applicable laws, including data protection and privacy regulations. You are responsible for how you use data obtained through the API catalog.

7. On-Chain Wallet

The Service provides an on-chain wallet that holds USDC (a stablecoin) on the Base network, powered by Coinbase CDP (Coinbase Developer Platform). The wallet enables agents to make on-chain payments and interact with blockchain-based services.

You acknowledge and accept all risks associated with blockchain technology and digital assets, including but not limited to: price volatility; smart contract vulnerabilities; network congestion or downtime; regulatory changes; loss of access due to lost keys or credentials; irreversibility of blockchain transactions; and the potential for total loss of funds.

ClawCard does not provide investment advice and makes no representations regarding the value, stability, or regulatory status of any digital asset. USDC is a third-party stablecoin; ClawCard is not responsible for USDC's peg, redemption, or regulatory compliance.

Blockchain transactions are irreversible. ClawCard cannot reverse, cancel, or refund any on-chain transaction once it has been broadcast to the network. You are solely responsible for verifying transaction details before confirmation.

8. Agent Responsibility

You are fully responsible for all actions taken by any AI agent operating under your account, including but not limited to: API calls made, emails sent, virtual card transactions, on-chain transactions, SMS messages, data accessed, and any other use of the Service.

ClawCard provides tools and infrastructure for AI agents but does not control, supervise, or monitor the behavior of your agents. You are responsible for configuring, supervising, and constraining your agent's behavior to comply with these Terms, applicable laws, and the terms of any third-party services accessed through the platform.

You agree to implement appropriate safeguards, spending limits, and oversight mechanisms for your agents. The delegation of tasks to an AI agent does not relieve you of any obligations under these Terms or applicable law.

9. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Engage in fraud, money laundering, terrorist financing, or other financial crimes
  • Send spam, phishing emails, or unsolicited communications
  • Harass, threaten, defame, or impersonate any person or entity
  • Access or attempt to access other users' accounts or data
  • Circumvent rate limits, usage restrictions, or security measures
  • Resell, sublicense, or redistribute the Service without written permission
  • Use virtual cards for prohibited merchant categories or illegal purchases
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Introduce malware, viruses, or other harmful code
  • Use the Service in a manner that could damage, disable, or impair it
  • Create fake or misleading agent identities for deceptive purposes
  • Exploit the Service for cryptocurrency mining, wash trading, or market manipulation

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including account termination and reporting to law enforcement.

10. Intellectual Property

The Service, including its software, APIs, documentation, trademarks, logos, and all related intellectual property, is owned by ClawCard and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. This license does not include the right to modify, distribute, sell, or create derivative works based on the Service.

You retain ownership of any data, content, or materials you submit to or generate through the Service. By using the Service, you grant us a limited license to process, store, and transmit your data solely as necessary to provide and improve the Service.

11. Third-Party Services

The Service integrates with and depends on multiple third-party services, including but not limited to:

  • Stripe โ€” payment processing
  • Privacy.com โ€” virtual card issuance
  • Telnyx โ€” phone numbers and SMS
  • Resend โ€” email delivery
  • Coinbase CDP โ€” on-chain wallet infrastructure
  • Various API providers accessible through the catalog

Each third-party service is governed by its own terms of service, privacy policy, and usage policies. By using features of the Service that rely on third-party providers, you agree to comply with their respective terms.

ClawCard is not responsible for the availability, accuracy, security, or performance of any third-party service. Third-party services may experience outages, change their terms or pricing, discontinue features, or impose restrictions that affect the Service. We will make reasonable efforts to communicate significant changes but cannot guarantee uninterrupted access to any third-party feature.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLAWCARD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL CLAWCARD'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO CLAWCARD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF CLAWCARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, CLAWCARD SHALL NOT BE LIABLE FOR: (A) LOSSES RESULTING FROM AGENT BEHAVIOR OR AUTONOMOUS ACTIONS; (B) LOSSES FROM ON-CHAIN TRANSACTIONS, INCLUDING SMART CONTRACT FAILURES OR NETWORK ISSUES; (C) LOSSES FROM VIRTUAL CARD TRANSACTIONS; (D) THIRD-PARTY SERVICE OUTAGES OR FAILURES; OR (E) UNAUTHORIZED ACCESS TO YOUR ACCOUNT RESULTING FROM YOUR FAILURE TO SECURE YOUR CREDENTIALS.

13. Indemnification

You agree to indemnify, defend, and hold harmless ClawCard, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Any actions taken by AI agents operating under your account
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third party's rights, including intellectual property, privacy, or contractual rights
  • Any dispute between you and a third party arising from your use of the Service

This indemnification obligation will survive the termination of your account and these Terms.

14. Termination

You may stop using the Service and close your account at any time by contacting us at support@clawcard.sh.

We may suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to: violation of these Terms; suspected fraud or abuse; non-payment; legal or regulatory requirements; or extended inactivity.

Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete your account data after a reasonable retention period; (c) any remaining balance may be forfeited if termination is for cause; and (d) provisions of these Terms that by their nature should survive (including Sections 8, 10, 12, 13, 15, and 16) will continue in effect.

If your account is terminated without cause, we will make reasonable efforts to provide a refund of any remaining balance, minus the cost of any pending obligations.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. CLAWCARD SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE SERVICE IS CURRENTLY IN BETA. WE DO NOT GUARANTEE ANY LEVEL OF UPTIME, AVAILABILITY, PERFORMANCE, OR RELIABILITY. WE DO NOT PROVIDE A SERVICE LEVEL AGREEMENT (SLA). THE SERVICE MAY CONTAIN BUGS, ERRORS, OR INTERRUPTIONS, AND FEATURES MAY BE MODIFIED, ADDED, OR REMOVED WITHOUT NOTICE.

CLAWCARD DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY DATA OR RESULTS OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the federal or state courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

Any claim arising out of or relating to these Terms must be brought within one (1) year after the cause of action arises, or such claim is permanently barred.

To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against ClawCard.

17. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where practicable, notify you via email or through the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.
